1. Acceptance of Terms

By accessing or using the Vessel platform operated by BlueScroll, Inc., a Delaware corporation operating as Vessel ("Company," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the platform.

2. Platform Overview

Vessel is a peer-to-peer package exchange platform that connects senders, recipients, couriers, and operators through smart reusable containers ("Vessels") equipped with NFC, BLE, and GPS technology. The platform facilitates dispatch, tracking, insurance, and payment for deliveries.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

  • Provide accurate and complete registration information.
  • Notify us immediately of any unauthorized use of your account.
  • Accept responsibility for all activity that occurs under your account.
  • Not create multiple accounts or share account access with third parties.

4. Vessel Container Responsibilities

Vessels are physical hardware assets owned by operators on the network. When you use a Vessel for a shipment, you agree to:

  • Handle Vessels with reasonable care and not damage, disassemble, or tamper with the container or its embedded electronics.
  • Return Vessels to the designated drop-off point or operator location upon delivery completion.
  • Not use Vessels to ship prohibited items including hazardous materials, illegal substances, or items exceeding the container's rated capacity.
  • Report any damage or malfunction of a Vessel immediately through the platform.

You may be charged for unreturned, lost, or damaged Vessels at the replacement cost determined by the operator.

5. Operator Obligations

If you register as an operator on Vessel, you agree to:

  • Maintain your Routes in an active and serviceable state, including adequate Vessel inventory and courier availability.
  • Meet the service levels published for your Routes, including estimated delivery windows.
  • Maintain all required business licenses and insurance for your operating jurisdiction.
  • Respond to disputes, damage claims, and support requests within the timeframes specified in the operator agreement.
  • Comply with all applicable laws regarding employment, safety, and transportation in your operating area.

6. Payments and Fees

All payments are processed through Stripe Connect. By using the platform, you agree to:

  • Payment holds: a hold may be placed on your payment method when a shipment is dispatched. The hold is captured upon confirmed delivery.
  • Platform fees: BlueScroll, Inc. collects a platform fee on each transaction. Fee schedules are published on the platform and may be updated with notice.
  • Operator payouts: operators receive payouts through their connected Stripe account, minus platform fees and any applicable holds.
  • Cancellation fees: cancellations after dispatch may incur fees as described in the cancellation policy at the time of booking.

7. Insurance and Liability

Vessel provides shipment insurance coverage as described at the time of dispatch. Coverage limits, exclusions, and claim procedures are specified in the insurance terms presented during the shipping flow.

To the maximum extent permitted by law, BlueScroll, Inc. shall not be liable for:

  • Indirect, incidental, special, or consequential damages arising from use of the platform.
  • Loss or damage to items that exceed declared value or fall outside insurance coverage.
  • Delays caused by weather, carrier availability, or circumstances beyond our reasonable control.
  • Actions or omissions of third-party couriers, operators, or other users of the platform.

Our total aggregate liability shall not exceed the fees you have paid to us in the twelve months preceding the claim.

8. Item Authenticity and Buyer Inspection

Some deals on Vessel involve buying an item from another user through the Private Exchange. For those deals, you agree to the following.

  • What Vessel proves: the Vessel and the courier confirm that a sealed parcel of the agreed weight was picked up from the seller and delivered to you intact. This shows the item arrived and was not swapped or damaged in transit.
  • What Vessel does not prove: Vessel does not inspect, appraise, or authenticate the item inside. We do not confirm that an item is genuine, and a convincing counterfeit can pass delivery. Judging whether the item is real and as described is your responsibility as the buyer.
  • Your inspection window: after delivery you have a limited window to examine the item and either accept it or start a return. Check that it matches the listing, that any serial or IMEI number matches what the seller listed, and that it powers on and works if it is electronic. If you do nothing before the window closes, the deal finalizes and the payment releases to the seller.
  • Bounded residual: the return window catches problems that are obvious at inspection. Expert counterfeits that cannot be detected at inspection are a risk you accept when you buy through the Exchange.

9. Payment Collection Agent (Private Exchange)

Some deals on Vessel involve buying an item from another user through the Private Exchange. For those deals, payment is handled through a payment collection agent, and you agree to the terms in this section.

  • You appoint a limited collection agent: if you sell an item through the Private Exchange, you appoint BlueScroll, Inc. and its payment processor, Stripe Payments Company, LLC, as your limited payment collection agent for the sole purpose of accepting the buyer's payment for your item. This appointment is limited to collecting that payment. It does not make us your agent for any other purpose.
  • Payment to the agent is payment to you: when the buyer pays our collection agent for an item, that payment is considered the same as a payment made directly to the seller, and it extinguishes the buyer's payment obligation to the seller for that item. A buyer who has paid our collection agent has paid the seller in full, even if the seller has not yet received the funds. If a seller is not paid out for any reason, the seller's claim is against BlueScroll, Inc., not the buyer.
  • Where the money is held: the buyer's payment is received and held by our licensed payment custodian on the platform's payment rails (Stripe Payments Company, LLC), not in a BlueScroll-owned account. It is held until the deal finalizes and pays out to the seller, or until a refund is due to the buyer.
  • Your separate refund right as a buyer: you keep a separate, independent contractual right to a refund during the inspection window described in Section 8. This refund right is a promise BlueScroll makes to you under these terms. It stands on its own, and it does not change or undo the fact that your payment to the collection agent counts as payment to the seller. If you reject the item or start a valid return within the inspection window, you are refunded under Section 8 and the cancellation policy, even though your payment was treated as made to the seller when you paid.

10. Intellectual Property

The Vessel platform, including its software, design, branding, documentation, and hardware specifications, is the property of BlueScroll, Inc. and is protected by intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works from any part of the platform without our written permission.

Content you submit to the platform (reviews, photos, descriptions) remains yours, but you grant us a non-exclusive, worldwide license to use it in connection with operating and promoting the platform.

11. Termination

We may suspend or terminate your account at any time if you violate these terms, engage in fraudulent activity, or pose a risk to the safety of the platform or its users. You may close your account at any time by contacting us. Upon termination:

  • All pending shipments must be completed or cancelled according to the cancellation policy.
  • Outstanding payments and fees remain due.
  • All Vessels must be returned to the appropriate operator.
  • Your data will be handled according to our Privacy Policy.

12. Governing Law

These terms are governed by and construed in accordance with the laws of the State of Texas, USA, without regard to its conflict of law provisions. Any disputes arising from or relating to these terms or your use of the platform shall be resolved exclusively in the state or federal courts located in Texas.

13. Changes to These Terms

We may revise these terms at any time by posting an updated version on the platform. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Your continued use of the platform after changes take effect constitutes acceptance of the revised terms.

14. SMS Messaging Program

By providing your mobile number and opting in, you consent to receive text messages from Vessel, a service of BlueScroll, Inc. This is a transactional messaging program covering:

  • Account verification: one-time passcodes used to sign in and confirm your identity.
  • Dispatch and delivery updates: pickup, in-transit, drop-off, and delivery-confirmation notifications for your shipments.

Message frequency varies based on your account activity. Message and data rates may apply depending on your mobile carrier and plan. Carriers are not liable for delayed or undelivered messages. You can cancel the SMS program at any time by texting STOP to any message we send; you will receive a final confirmation that you have been unsubscribed and we will stop sending texts to that number.
